These are quick explanations of important points, not a replacement for the full policy. Select any item to read the relevant section.

1. Introduction and acceptance

Welcome to Rinko Hub (the "Service," "Platform," "we," "us," or "our"), a hosted developer platform built on top of a distributed, content-addressed version-control protocol, operated by Nexaji LTD ("Company"). These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and Company governing your access to and use of the Service, including our website, dashboard, APIs, documentation, and any related software or services.

By registering interest, redeeming an invite code, creating an account, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, if higher) to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

Our Privacy Policy describes how we collect, use, and share information, including through analytics tooling — see that document for details on data practices; it is incorporated into these Terms by reference.

2. Early access / beta notice

The Service is currently offered as an early-access, pre-release product ("Early Access" or "Beta"). By using it, you specifically acknowledge and agree that:

  • The Service, and any features, integrations, or documentation associated with it, are under active development and provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.
  • Features may be added, changed, restricted, or removed at any time without notice, and may not function as described or at all.
  • Data loss or reset may occur. During Early Access, we may reset, wipe, migrate, or otherwise alter stored data as part of ongoing development, and we do not guarantee the durability, availability, or long-term retention of any content you store on the Service during this period. Do not rely on the Service as your sole copy of anything you cannot afford to lose.
  • We make no uptime, availability, performance, or service-level commitments of any kind during Early Access.
  • Access during Early Access is invite-gated and may be limited, paused, expanded, or discontinued at our sole discretion.

3. Invite codes and early access registration

3.1 How access works. Access to the Service during Early Access is currently granted only via a one-time invite code that we send by email after you register your interest through our sign-up form. Registering interest does not guarantee that you will receive an invite code, and we may decline to issue one for any reason or no reason.

3.2 Nature of invite codes. Each invite code is:

  • Unique and single-use — once redeemed, a code cannot be reused, resold, or reissued;
  • Non-transferable — issued to a specific recipient and may not be sold, traded, shared publicly, or transferred to another person or entity, except as we may separately permit;
  • Revocable at any time and without notice, at our sole discretion, including before or after redemption, for any reason, including suspected abuse, fraud, or violation of these Terms;
  • Not property, currency, or a security, and confers no ownership, equity, or other proprietary interest in Company or the Service.

3.3 No guarantee of future access or pricing. Redeeming an invite code and gaining dashboard access during Early Access does not guarantee continued access to the Service, access to (or particular pricing for) any future paid tier, or that the Service will ever reach general availability in its current or any other form.

3.4 Early-adopter perks. We may, at our discretion, offer redeemers of certain invite codes early-adopter benefits, credits, badges, or other perks ("Perks"). All Perks are offered on a discretionary, non-contractual basis: we may modify, restrict, delay, or discontinue any Perk at any time, for any or no reason.

3.5 Circumventing the invite gate is prohibited. Attempting to bypass, defeat, brute-force, guess, scrape for, or otherwise circumvent the invite-code access gate — including by automated means — is a violation of these Terms and may result in immediate termination and other action described in Section 8 (Enforcement).

4. Accounts

Creating an account requires redeeming a valid invite code and completing authentication through our identity provider, WorkOS, or such other identity provider(s) as we may use from time to time. You agree to provide accurate, current information and to keep your credentials confidential. You are responsible for all activity that occurs under your account — notify us promptly at contact@nexaji.com if you suspect unauthorized access. One account per person, unless we expressly authorize otherwise.

5. Your content

As between you and Company, you retain all right, title, and interest in any repositories, code, data, configuration, documentation, or other materials you upload, create, or store using the Service ("Your Content"). These Terms do not transfer any ownership of Your Content to Company.

You grant Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, back up, replicate, and otherwise process Your Content solely as necessary to provide, maintain, secure, and improve the Service; perform actions you or your authorized collaborators request (e.g., syncing, merging, sharing, or displaying a repository); and comply with applicable law. This license ends when Your Content is deleted from the Service, except to the extent copies persist in routine backups for a limited period or as required by law.

Where the Service offers a distinction between private and shared/public repositories or workspaces, we will access private content only as reasonably necessary for security, abuse prevention, support you request, or legal compliance — consistent with our Privacy Policy. During Early Access, all repository-visibility features should be considered subject to change and not guaranteed to persist.

You are solely responsible for Your Content and for ensuring you have all rights necessary to upload it and grant the license above. You represent that Your Content does not infringe or misappropriate any third party's rights and does not violate any applicable law.

If you send us feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose, without obligation or compensation to you.

6. Open source and third-party components

The underlying version-control protocol that powers the Service may incorporate or interoperate with open-source software, which remains governed by its own applicable license terms. Nothing in these Terms limits any rights you have under a separate open-source license that governs specific software components.

7. Acceptable use

You agree not to, and not to permit others using your account to:

  • Upload, store, or transmit any content that is unlawful, infringing, defamatory, obscene, or that violates the rights of any third party;
  • Upload or distribute malware, ransomware, spyware, or other malicious code, or use the Service to stage, host, or distribute attacks against any system;
  • Attempt to gain unauthorized access to the Service, other users' accounts or content, or any systems or networks connected to the Service;
  • Conduct security testing, penetration testing, vulnerability scanning, or similar assessments against the Service without our prior written authorization;
  • Scrape, crawl, or harvest data from the Service by automated means, or circumvent rate limits, access controls, or the invite-code gate described in Section 3;
  • Interfere with, disrupt, or degrade the integrity or performance of the Service, its underlying protocol, or its infrastructure;
  • Use the Service to violate any applicable law or regulation;
  • Misrepresent your identity or affiliation, or impersonate any person or entity;
  • Resell, sublicense, or provide the Service to third parties as your own hosted offering without our prior written consent.

8. Enforcement

Violation of Section 7 (Acceptable Use) or Section 3.5 (invite-gate circumvention) may result in, without limitation and without prior notice: warning, content removal, feature restriction, invite-code revocation, account suspension, or account termination, at our sole discretion and in addition to any other remedies available to us at law.

9. Service availability; changes to the Service

Especially during Early Access, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any particular feature will remain available. We may add, change, suspend, or discontinue any part of the Service (including features, APIs, and pricing, once pricing exists) at any time, with or without notice, and may temporarily suspend access for maintenance, security, legal, or operational reasons.

10. Fees

The Service is currently offered free of charge during Early Access. If we introduce paid plans or features in the future, additional terms governing fees, billing, and refunds will be presented to you for acceptance before you are charged, and will supplement (and, in case of conflict for the relevant feature, control over) these Terms.

11. Termination

You may stop using the Service and request account deletion at any time by contacting contact@nexaji.com. We may suspend or terminate your access to the Service, revoke an invite code, or delete your account at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms, if required by law, or as part of adjusting the scope or availability of Early Access. Upon termination, your right to access the Service ends immediately; we may delete Your Content following termination, subject to any data-retention or export process we make available at the time. Provisions that by their nature should survive termination will survive.

12. Disclaimer of warranties

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under English law, including liability for death or personal injury caused by negligence, or for fraud.

You agree to defend, indemnify, and hold harmless Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with Your Content, your use or misuse of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

15. Governing law and dispute resolution

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of England and Wales. Before filing a claim, you and Company agree to try to resolve the dispute informally by contacting contact@nexaji.com. If a dispute is not resolved informally within a reasonable time, the courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer resident elsewhere, mandatory consumer-protection law in your place of residence may also give you the right to bring proceedings in your own local courts, and nothing in these Terms limits any such mandatory right.

16. Changes to these terms

We may modify these Terms from time to time, particularly during Early Access as the product and its commercial terms develop. If we make material changes, we will provide notice by posting the updated Terms on this page with a new "Last updated" date, and, where appropriate, by additional notice (such as email or an in-product notice). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. General provisions

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Company regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. We will not be liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control. These Terms do not confer any rights or remedies on any third party except as expressly stated. You consent to receive communications from us electronically, including by email and through in-product notices.
